Terms of Service

Float Labs Limited (company number 15626011) of Arquen House, 4-6 Spicer Street, St Albans, Hertfordshire, AL3 4PQ (“Float Labs”) is developing the Supercut video messaging service (“Supercut”).

You (“Beta Customer”, “you” and “your” as applicable) have been invited to participate in the beta phase of Supercut. These Terms of Service (the “Agreement”) govern your access to and use of Supercut.

  1. Acceptance
    By uploading videos to Supercut, registering an account on Supercut, or otherwise using Supercut, you accept and agree to be bound by this Agreement. If you use Supercut on behalf of a legal entity, you represent that you have the authority to bind that entity to this Agreement.
  2. Definitions
    The following definitions apply in this Agreement:
    • “Affiliate” means either your or Float Labs’ holding companies, subsidiaries, and its holding companies’ subsidiaries as defined in s.1159 Companies Act 2006.
    • “Authorised Users” means your employees, contractors, and third parties permitted to use Supercut.
    • “Beta Customer Content” means the content uploaded to or created within Supercut by you.
    • “Confidential Information” means any confidential information related to the Disclosing Party’s business, plans, operations, and more.
    • “Data Protection Laws” means applicable laws related to personal data processing, including GDPR and the UK Data Protection Act 2018.
    • “Supercut Materials” means all related works, software, data, and processes excluding Beta Customer Content.
    • “Supercut” means the Float Labs video messaging service and any user manuals or instructions.
  3. Supercut Service and App
    Supercut can be accessed via a web browser or mobile app. It is your responsibility to ensure you have the appropriate hardware and network capacity for access.
  4. Supercut Support
    Float Labs provides reasonable support during UK business hours. Support includes viewing and fixing content unless opted out by the Beta Customer.
  5. Term
    This Agreement starts on acceptance and may be terminated by either party with one week’s written notice.
  6. Charges
    No charges are due unless otherwise agreed.
  7. Insights
    You grant Float Labs a licence to use your insights for the development of Supercut.
  8. Intellectual Property Rights (IPRs)
    Supercut Ownership
    Float Labs owns all IPRs in Supercut. You assign any vested rights to Float Labs. You shall execute any necessary actions to perfect this ownership.
    Supercut Licence
    Float Labs grants you a non-exclusive, royalty-free right to use Supercut for internal purposes.
    Beta Customer Content Licence
    You retain ownership of your content but grant Float Labs the right to use it for support and service delivery.
  9. Data Protection
    Float Labs handles personal data according to Data Protection Laws and its privacy policy. You must obtain necessary consents for any data provided.
  10. Confidentiality
    Both parties agree to keep confidential information secret and only use it as permitted in this Agreement.
  11. Liability
    Float Labs is not liable for Supercut provided during the beta phase and excludes liability for loss unless specified.
  12. Consequences of Termination
    Licences terminate on Agreement termination, and confidential information must be returned or destroyed.
  13. General
    This Agreement is governed by the laws of England and Wales. Changes to Supercut may be implemented at any time.
